16. The Operator shall adhere to Good Operator Practice. Good Operator Practice means the continuously evolving practices, methods, techniques, norms, standards and limitations generally accepted and regularly applied in the European electrical engineering design, installation and service industry for the safe, efficient and economical design, execution, operation and maintenance of electromobility systems. This shall also include the provisions of all national and European Union standards, relevant municipal decrees, professional chamber regulations and all Legal Regulations applicable to the activities set forth in this GTC.

VI. MANDATORY DATA PROVISION

17. The Operator shall make available to the Service Provider, on a continuous, real-time, complete and free of charge basis and via a Roaming Platform and/or the OCPI interface, the static and dynamic data relating to the charging points operated by it, consistently with the data provision obligation set out in Article 20 of the AFIR.

18. The Operator may not restrict, suspend or make the data provision conditional upon the payment of any fee or the fulfilment of any further condition, and may not discriminate between electromobility service providers in this respect. The Service Provider shall not charge the Operator any system usage or other fee for the use of the EV.app or for the roaming connection.

19. The Operator shall transmit any change in the operational status and availability of a charging point to the Service Provider within 60 seconds of such change. The minimum – but not exclusive – content of such data provision shall include the instantaneous charging power, the amount of energy drawn (delivered) and, where permitted by the technology of the charging equipment, the state of charge (SoC) of the vehicle.

20. The Operator is responsible for the accuracy and currency of the data it provides. In the event of incorrect or incomplete data, it shall correct such data without undue delay, but no later than within 24 hours from the Service Provider’s notice.

21. The Service Provider shall be entitled to display, process and enrich the data in the EV.app and on its website. The Service Provider shall not sell the POI data to third parties as a stand-alone data service without the Operator’s prior written consent, this does not affect the display of the data to the Users.

VII. NOTIFICATION OF OUTAGES AND FAULTS

22. In the case of planned maintenance, outage or development works that restrict the availability of charging points, the Operator shall notify the Service Provider at least 48 hours before commencement, indicating the affected charging points (EVSE ID) and the start and expected end times.

23. In the case of an unplanned fault, the Operator shall notify the Service Provider without undue delay, but no later than 60 minutes from detection, where the fault

a) affects more than 5 charging points at the same time, or

b) recurs due to the same cause, or

c) affects the roaming connection, authorisation, remote start or the transmission of CDRs.

24. The Operator shall give such notification via the OCPI status message and on the Roaming Platform, or by message sent from its operational (fault reporting) e-mail address registered on the Roaming Platform to the operational e-mail address of the Service Provider.

25. The Operator shall provide a substantive response within 24 hours to any fault report marked “URGENT” by the Service Provider. In the event of misuse of the urgency marking, the Operator’s obligation to respond within this deadline shall not apply in the given case.

26. If the Operator fails to comply with its notification obligations under this Chapter, the Service Provider shall be entitled to hide the affected charging points in the EV.app or to display them as “unavailable” until the fault is remedied, this shall not constitute a breach of contract by the Service Provider.

VIII. CUSTOMER SERVICE AND USER SUPPORT

27. The Operator shall maintain a customer service at the contact details displayed at its charging points, which receives Users’ enquiries during the availability period of the charging points.

28. The Operator’s customer service shall not divert a User of the Service Provider to the application or services of another electromobility service provider, shall not request the User to download another application, to register with another provider or to use another means of payment, but shall assist the User in completing the session initiated in the EV.app.

29. Clause 28 shall not restrict the Operator in marketing its own services to users who do not use the charging point as a User of the Service Provider, nor shall it affect the Operator’s right to direct a User to ad hoc charging for technical reasons where a roaming start is demonstrably not possible.

30. The Operator shall ensure that the above are available to and known by its dispatchers.

IX. FAILED START, COMPENSATION AND RECHARGE OF COSTS

31. Failed Start means that, for a reason within the Operator’s sphere of control,

a) a Charging Event initiated by the User via the EV.app does not start,

b) the Charging Event is interrupted against the User’s will and/or contrary to its intended use, or

c) the charging point is shown as available or operational in the OCPI data, but is in fact not usable.

32. The Service Provider shall be entitled to compensate the User for a Failed Start, in particular by way of a discount, credit or a price reduction granted for the next Charging Event.

33. The Service Provider shall recharge the cost of such compensation to the Operator, provided that the Failed Start is evidenced by the system log of the Service Provider and/or the Operator, or by the OCPI message exchange. The Service Provider shall make the relevant log entry or an extract thereof available to the Operator.

34. The method of calculating the compensation per Failed Start, the cap on the energy volume taken into account and the per-event maximum and the additional provisions are as below:

Basis of compensation: the discount, credit or price reduction actually granted to the User and documented, due to the Failed Start.

Energy volume taken into account: up to 56 kWh per event.

General price reduction: HUF 140/kWh

Enforcement threshold: EUR 1,000 cumulated, itemised amount.

Method of settlement: itemised statement and an invoice or debit note. Payment term is 30 days.

Objection: within 15 days of receipt of the statement, with reasons and evidence.

35. The Service Provider shall enforce its claim once the itemised, cumulated amount reaches EUR 1,000. In such case the Service Provider shall send an itemised statement and shall issue an invoice or debit note for the amount, the payment term is 30 days.

36. The Operator may dispute individual items within 15 days of receipt of the statement, stating its reasons and attaching the evidence available to it. A disputed item shall not fall due until the dispute is settled, undisputed items shall be paid by the Operator by the due date.

37. The Parties regard the above as circustances foreseeable at the time of conclusion of the contract.

X. OBLIGATIONS OF THE SERVICE PROVIDER

38. The Service Provider shall pay the Operator the fee due under this GTC.

39. The Service Provider undertakes that the amount of the “convenience fee” charged after charging sessions shall be determined uniformly, irrespective of the Operator.

45. The Parties agree that the Service Provider shall be entitled to collect service fees from the Users who use its services for the provision of the electromobility service, which fees are independent from the fee stipulated above (“convenience fee”).

46. The fees published by the Operator on the Roaming Platform or on the OCPI interface shall be the fees effective from the time of conclusion of the contract. The Operator shall be entitled to modify such fees unilaterally, provided that it publishes the modified tariff on the Roaming Platform and/or in the OCPI Tariff module before it takes effect. The Service Provider shall only be obliged to pay the tariff communicated on the Roaming Platform and/or in the OCPI Tariff module at the time of the Charging Event, any deviating tariff applied retroactively shall not be effective against the Service Provider. The Parties record that the Operator may also apply dynamic pricing: in such case no separate prior publication period shall apply to the modified tariff, provided that the tariff in force at the time of the Charging Event is available to the Service Provider via the Roaming Platform and/or the OCPI Tariff module. Where an individually negotiated agreement on fees (in particular a volume agreement) is in force between the Parties, the Operator may not unilaterally modify the fees set out therein, in which case the provisions of the individual agreement shall prevail.

47. The Service Provider undertakes that the fees specified by the Operator shall be displayed to the Service Provider’s Users and that, in addition thereto, only the convenience fee shall be charged to them.

48. A Charging Event shorter than 2 minutes and during which less than 0.5 kWh was delivered shall not be eligible for invoicing.

49. In the event of late payment, default interest pursuant to Section 6:155 of the Ptk. shall apply. The Service Provider may dispute an invoice, with reasons, within the payment period of the given invoice.

50. The contract concluded on the basis of this GTC is concluded for an indefinite period of time.

51. The contract shall enter into force at the time of acceptance of the GTC on the Roaming Platform.

52. The Service Provider shall be entitled to amend the GTC unilaterally. The Service Provider shall publish the amendment on the Roaming Platform at least 30 days before it takes effect. If the Operator does not accept the amendment, it may terminate the contract with effect as of the date on which the amendment takes effect. Failing this – or upon renewed acceptance on the Roaming Platform – the amendment shall be deemed accepted. Individually negotiated terms may still be amended only by mutual written consent.

53. The Parties agree that either Party is entitled to terminate the contract concluded on the basis of this GTC with a 30 (thirty) day notice period by means of a unilateral written declaration.

54. Furthermore, either Party shall be entitled to terminate the contract with immediate effect if the other Party seriously or repeatedly breaches a material obligation arising from the contract and, despite a written notice to cure, fails to remedy its breach within 8 (eight) days. Circumstances giving rise to immediate termination shall include, but shall not be limited to:

The Service Provider declares that all data processing in connection with this GTC shall be carried out in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and the applicable Hungarian data protection legislation. By accepting the GTC, the representative of the Operator – with regard to the Service Provider’s data processing information notice – acknowledges that, on the legal basis of the performance of the contract, the Service Provider (as data controller) may process the personal data provided for 8 years after the termination of the contract, and that such data may be disclosed to the data processors engaged by the Service Provider. The Operator acknowledges that, as a data subject, it has the right to request access to, rectification, erasure or restriction of processing of personal data concerning it, the right to object to processing and the right to data portability, as well as the right to lodge a complaint with the supervisory authority (National Authority for Data Protection and Freedom of Information, mailing address: 1363 Budapest, Pf.: 9., Hungary).

XVI. LIABILITY

65. The Parties shall be liable for damage caused by breach of contract pursuant to Section 6:142 of the Ptk. Save for liability for intentional breach and for breach causing damage to human life, bodily integrity or health, the Parties’ liability is limited to damage foreseeable at the time of the breach.

66. The Operator shall be liable for damage caused to a User’s vehicle as a result of a fault or unsafe condition of the charging equipment, and shall indemnify and hold the Service Provider harmless against any claims brought against it by the User in this respect.

67. The Operator shall be released from its performance obligation to the extent that the interruption of the service is attributable to a disturbance in the electricity grid or to a fault in the grid connection, provided that the Operator duly evidences the same. The burden of proving that the conditions for such release are met lies with the Operator.

XVII. MISCELLANEOUS AND FINAL PROVISIONS

68. The Contracting Parties shall mutually cooperate continuously throughout the term of the contract, in accordance with the principles of good faith and fair dealing. Accordingly, they shall inform each other in a timely manner not only of the performance of the provisions of this GTC but also of any significant matter that may affect performance.

The Parties shall settle any question arising or becoming contentious amicably and by direct negotiation. In the event that a dispute cannot be resolved in this way, they submit to the exclusive jurisdiction of the Central District Court of Buda (Budai Központi KerĂŒleti BĂrĂłsĂĄg), Hungary.

71. By accepting the GTC, the Operator declares that it has read and understood the content of the GTC and accepts it as binding upon itself. This GTC is prepared in both Hungarian and English, and in the event of any discrepancy, the Hungarian version shall prevail.
